3 May 2017: The CMA has cleared the anticipated acquisition by Hutchison 3G UK Limited of the entire issued share capital of Transvision Investments Limited. The full text of the decision is available below.

10 March 2017: The Competition and Markets Authority is considering whether it is or may be the case that the anticipated acquisition by Hutchison 3G UK Limited (Three) of the entire issued share capital of Transvision Investments Limited, will, if carried into effect, result in the creation of a relevant merger situation under the merger provisions of the Enterprise Act 2002 and, if so, whether the creation of that situation may be expected to result in a substantial lessening of competition within any market or markets in the United Kingdom for goods or services.

Hutchison 3G UK Limited is an indirect wholly owned subsidiary of CK Hutchison, a mobile network operator offering mobile communications services under the “Three/3” brand in the UK. Transvision Investments Limited is the holding company of UK Broadband Limited (UKB), a provider of fixed wireless broadband networks in the UK. Through the transaction, Three will acquire, inter alia, UKB’s radio spectrum licences (in the 3.4 GHz, 3.6 GHz, 3.9 GHz, 1800 DECT guard band, 28 GHz and 40 GHz bands) and its fixed wireless access business, including Relish, a fixed wireless broadband provider primarily active in Central London.
