The proposal is to enable the Financial Conduct Authority (FCA) to replace the UK Prospectus and Public Offers Regime, currently inherited from EU law, with a new regime including new rules on when a prospectus is needed and the content of prospectuses. The RPC finds the quantification, by HMT, of the direct costs to business as sufficient for this stage of the policy development. Further impacts would be expected following the establishment of the new rules from the FCA; the IA is green-rated; fit for purpose.
